Overview

 

Teguh Maramis, one of the co-founders of the firm, has been practicing law for over 34 years in several Indonesian reputable firms.

 

Mr. Maramis is a broad-gauged corporate services lawyer who focuses in corporate and commercial law. He advises and has represented various local and international companies on foreign investment, mergers and acquisitions, energy and resources, banking and finance, restructuring, construction, port services and aviation.

 

In addition to his private practice, he was once served as a member of the Investment Committee (Komite Penanaman Modal) at the Indonesian Investment Coordinating Board (BKPM) in 2009, whose job were to providing advice to the Chairman of BKPM and was involved in negotiation of several investment treaty agreements with the United States of America and France.

 

In 2013, he joined the University of Indonesia as guest lecturer at the Post Graduate Program and taught Corporate Finance Law until 2019. His other services include serving as the Legal Director of the Indonesian Football Association (PSSI) in 2017.

 

Mr. Maramis received his Sarjana Hukum (S.H.) (under graduate) in international public law from the Faculty of Law at the University of Indonesia in 1988. He earned his Master of Laws (LL.M.) from Rijksuniversiteit Leiden, the Netherlands, Faculty of Law, Post Graduate Program, Leiden, the Netherlands, in 1994.

Corporate and Foreign Investment

• Providing various advice to clients related to corporate matters.

• Involved in right issue process of several public companies (Indosat, TPI).

• Retained by leading cellular operator in Indonesia (Telkomsel).

• Retained by the National Flag Carrier of Indonesia (Garuda Indonesia).

• Retained by the State Electricity Company (PT PLN).

• Providing various advice related to foreign investment companies which include household cleaning and consumer healthcare products (Reckitt Benckiser), construction services (Thyssen Krupp), mining (Freeport, Newmont), telecommunication and multimedia (Indosat, IM2), cellular telecommunication (Telkomsel), automotive industry (Krama Yudha), hotels (Westin Hotels, Intercontinental Hotels), property, chemical, distribution, trading, etc.

 

Mergers and Acquisitions

• Involved in merger of multimedia companies being subsidiaries of an international telecommunication operator in Indonesia (Indosat).

• Involved in various acquisition transactions in the fields of information technology (Arkalogic), real property, telecommunication, mining, hotels, health service, pulp & paper (Kiani Kertas), plantation (Mahaka Group), laboratory testing (Angler Biochemlab).

 

Banking and Finance

• Representing lenders (domestic: Bank Mandiri, Bank Bukopin, Lippo Bank; and foreign: Midland Bank, Standard Chartered Bank) and borrowers in various types of financial transactions.

• Preparing various types of financial transaction documents, including syndicated loan agreements, standard banking, and finance documents, restructuring agreements, bonds, convertible bonds, notes, etc.

• Conducting certain legal due diligence with respect to compliance to the banking and finance regulations (Bank Bukopin, PT Astra Sedaya Finance, PT BCA Sekuritas).

• Providing advice to foreign bank in hearing with the Indonesian Parliament (Deutsche Bank).

 

Restructuring

• Providing various advises and documents/agreements related to corporate and financial restructuring; Involved in corporate restructuring of groups of Indonesian companies, including restructuring of a group of companies in MSAA (APAC, Sulfindo);

• Involved in financial restructuring conducted by several financial institutions and IBRA.

 

Energy and Resources

• Rendering advice related to gas distribution (Air Liquide) and mining activities (Bumi plc, PT Berau Coal Energy, PT Berau Coal, Flame SA, PT RST International).

• Involved in tax treaty rate issues (British Petroleum).

• Involved in Gas Swap issues (Premier Oil).

• Rendering advice related to arbitration (Total Indonesie).

• Involved and rendering advice to foreign investment water provider company (Palyja).

• Involved and rendering advice to divestment in world class mining company (PT Freeport Indonesia).

 

Construction, Port Services, Aviation

• Preparing and reviewing documents/agreements related to construction of various infrastructures, such as, EPC contracts related to telecommunication infrastructure, gas pipelines of a state owned company engages in gas distribution, waste water treatment, building construction (PT Krakatau Osaka Steel), etc.

• Involved in tender process for a container terminal services company in several Indonesian sea ports (ICTSI).

• Involved in reviewing documents for contractor in the Jakarta MRT Project.

• Involved in providing advice to foreign aircraft/helicopter manufacturer and airlines (Embraer, Airbus Group, Garuda Indonesia).

 

Real Property

• Providing various advice related to real property issues.

• Retained by a foreign embassy in Indonesia (US Embassy, Brazil Embassy) with respect to its various real property matters and employment matters in Indonesia.

• Preparing standard documents for a number of developers which engage in the development of houses, office buildings and apartments (PT Ratu Sayang International, PT Jakarta Stock Exchange Building, PT Matahari Putra Prima).

• Representing Indonesian government agency (the Indonesian Investment Coordinating Board - BKPM) for lease of their offices in Abu Dhabi, Los Angeles and New York.

International Agreements between States

As a member of the Investment Committee of the Indonesian Investment Coordinating Board (BKPM - 2009), representing the Republic of Indonesia in negotiation and preparation of various bilateral investment and investment insurance agreements with the United States of America, Canada and France, respectively.
